Director removal

How to remove an existing director from Private limited company. Several notices were issued for attending Board meetings and all such meeting was not attended. DIN-KYC is not updated since last four years. In annual reports non attendance and non- signing of any of such statment is already reported

If the director has not attended three consecutive board meetings, such director can be removed. He can be removed by issuing special notice at least 14 days before general meeting. After passing resolution in general meeting having attendance of at least 90%, and after giving opportunity to director of being heard, Form DIR-12 can be filed with ROC for removal.
